1. Who We Are

PartShift ("PartShift", "the Platform", "we", "us") is a business-to-business (B2B) online marketplace operated from the United Kingdom. You can contact us at office@partshift.co.uk.

These Terms form a binding agreement between you ("you", "Member") and PartShift. By creating an account, listing parts, posting wanted requests, or paying any fee, you accept these Terms in full.

2. The "Venue Only" Declaration — Read This First

PartShift acts solely as a B2B matching venue. We are NOT a party to any transaction between Members.

The contract for sale of any part is formed directly between the Selling Shop and the Buying Shop. PartShift does not take title to any part, does not handle payment for any part, does not earn commission on any part sale, and provides no warranties, express or implied, regarding the condition, fitment, or legality of parts listed.

THE ONLY MONEY PARTSHIFT EVER RECEIVES IS THE FIXED £5 SERVICE FEE described in Section 6. All other money moves directly between shops, outside the Platform.

3. Eligibility — Trade Use Only

PartShift is exclusively for businesses operating in the automotive trade (bodyshops, breakers, garages, recyclers). By registering you confirm you are acting in the course of a business.

Consumer protections under the Consumer Rights Act 2015 do not apply to transactions on this Platform because all users are traders. Disputes between shops are governed by commercial law, including the Sale of Goods Act 1979 and the Unfair Contract Terms Act 1977.

4. Accounts, Verification & Shop Claims

You must provide accurate business information when registering and claiming a shop profile. We may verify your identity and business status by email confirmation, Companies House lookup, or other means, and may suspend accounts that fail verification or provide false information.

You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at office@partshift.co.uk if you suspect unauthorised use.

5. Listing Obligations (Sellers)

Sellers warrant that: (a) every listed part exists, is accurately described, and is genuinely available; (b) prices quoted are in pounds sterling and are the actual asking price; (c) they hold the right to sell every part listed; and (d) listings do not infringe third-party intellectual property rights.

Parts listed as new, OEM, or tested must be exactly that. Misrepresentation is grounds for immediate removal, permanent exclusion, and referral to trading standards where appropriate.

6. The £5 Reservation Token — Fee-Only Model

When a Buyer reserves a listed part, the Buyer pays PartShift a fixed £5 Reservation Token. THIS IS A SERVICE FEE PAID TO PARTSHIFT FOR UNLOCKING THE SELLING SHOP'S CONTACT AND COLLECTION DETAILS. It is NOT payment for any part, NOT a deposit, and NOT held on behalf of either shop.

The price of the part itself is agreed and settled DIRECTLY between the Buyer and the Seller (for example cash or bank transfer on collection). PartShift never receives, holds, or processes part payments, and takes no percentage of them.

The Token authorises at reservation and is captured only once the Selling Shop confirms availability. If the Seller never confirms within the challenge window, the reservation expires and the authorisation is cancelled automatically — no charge occurs.

If the Seller confirms but then cannot honour the collection (part missing, damaged, already sold), the Buyer should raise a dispute through the Platform. Where the Platform upholds such a dispute, the Token is refunded in full. Tokens are otherwise non-refundable once seller details have been revealed, except where required by law.

7. Wanted Requests & Lead Reveals

Buyers may post Wanted Requests describing a needed part free of charge. When a Seller matches the request and confirms stock, the Buyer may pay the same fixed £5 fee to unlock the Seller's contact details. The same fee-only model applies: the £5 buys the introduction only; the part transaction happens directly between the shops.

8. "As-Is" / Caveat Emptor

Every part is sold "As-Is, Where-Is". In a B2B context, and to the extent permitted by the Sale of Goods Act 1979 and the Unfair Contract Terms Act 1977, the Selling Shop and Buying Shop agree that statutory implied terms as to satisfactory quality and fitness for purpose apply only to the extent they cannot lawfully be excluded, and nothing in these Terms excludes liability that cannot lawfully be excluded.

Where a part matches the OEM number provided in the listing, it is deemed to match the order unless the Buyer proves otherwise before collection.

9. Fitment Disclaimer

While the Platform uses AI assistance for data extraction, the BUYING SHOP holds absolute professional responsibility to verify that the OEM part number matches the target vehicle's requirements before purchase.

PartShift is NOT liable for labour costs, diagnostic fees, or vehicle-off-road (VOR) losses resulting from incorrect fitment.

10. Liability Shield

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to the above, and to the maximum extent permitted by law: (a) PartShift excludes all liability for loss of profit, revenue, goodwill, or consequential loss arising from use of the Platform; and (b) PartShift's total aggregate liability for any claim arising out of a specific transaction shall not exceed the amount of the £5 service fee paid for that transaction.

Because PartShift is not party to part sales, we accept no liability whatsoever for the quality, legality, delivery, or fitness of any part transacted between shops.

11. Acceptable Use & Anti-Fraud

You agree NOT to: scrape or systematically extract Platform data; circumvent the fee model by sharing revealed seller details with non-paying parties; list stolen or counterfeit goods; impersonate another business; attempt to manipulate reputation scores, rankings, or syndication outputs; or interfere with the Platform's security mechanisms.

We operate rate-limiting, behavioural analysis, and anti-abuse systems. Abuse may result in throttling, suspension, permanent exclusion, and reporting to authorities.

12. Suspension & Termination

You may stop using the Platform at any time. We may suspend or terminate access immediately for breach of these Terms, failed verification, fraudulent activity, or conduct that harms other Members or the Platform's integrity.

On termination, outstanding confirmed reservations will be honoured or refunded per Section 6. Sections 2, 8, 9, 10, 13 and 14 survive termination.

13. Intellectual Property

The Platform, its software, design, ranking algorithms, and branding are owned by PartShift or its licensors. You retain ownership of your own listings and content but grant PartShift a non-exclusive licence to display and process them for the operation of the marketplace, including generating anonymised syndication manifests.

14. Disputes, Governing Law & Changes

Disputes about a PART itself are between the two shops involved; PartShift's role is limited to operating the reservation, dispute-flagging, and refund mechanics described in Section 6.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

We may update these Terms; material changes will be announced on the Platform. Continued use after changes take effect constitutes acceptance.

By using PartShift, you agree to these professional B2B covenants.
Failure to adhere to these terms results in permanent exclusion.
